Terms and Conditions

1. About these Terms and acceptance

These Terms and Conditions ("Terms") are a legal agreement between you and Smart Saving Bookkeeping Pty Ltd (ABN 59 679 618 494; ACN 679 618 494), trading as Oswin AI ("Oswin AI", "we", "us", "our"), based in Australia. We operate the website at https://oswin.com.au and the Oswin service described below (the "Service"); "Oswin" refers to that product and service.

When you sign up, you must actively accept these Terms and our Privacy Policy by selecting "I agree" before your account is created. By clicking "I agree", creating an account, or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not create an account or use the Service. If you are agreeing on behalf of a business or organisation, you confirm you have authority to bind it, and "you" means that organisation.

2. Who can use Oswin

The Service is built for Australian small businesses. To use it, you confirm that: you are at least 18 years old; you are using the Service for a business (not for personal, domestic or household purposes), or are an authorised person acting for that business; your business operates in Australia and has an ABN; and the information you give us is true, current and complete, and you will keep it up to date.

We may decline or refuse to register an account at our discretion, subject to these Terms and the law. Once you have an account, any suspension or termination is governed by Section 12, not an open-ended discretion.

You can ask us to close your account at any time (see Section 12).

4. What the Service does (and what is "coming soon")

What is live today. We currently provide an automated bookkeeping reconciliation tool (a tool that reads your bank statements and receipts and matches them against each other). Reconciliation is the only feature that is live.

What is "coming soon". We plan to add more over time — for example, fuller bookkeeping features, BAS preparation tools, and a human-bookkeeper review step. These are not available yet. Any reference to a future feature is a statement of our current intention only. We do not promise any "coming soon" feature will be released, or by any particular date, and you should not sign up or rely on the Service on the basis that a future feature will arrive.

What the Service is not. Oswin is a bookkeeping/software service. It does not lodge your BAS or any other return, and does not provide tax, accounting, financial or legal advice. See Section 10. We may change, improve, add to, or remove parts of the Service over time; if a change materially reduces the core Service you are paying to use, see your exit rights in Section 13.

5. Pricing — how you pay for the Service

6. Your content and uploaded data

De-identified and aggregated data. You grant us a right to create and use de-identified and aggregated data derived from your use of the Service — with names, account numbers and other identifiers removed, or combined into statistics so it no longer identifies you — to operate, analyse and improve the Service. We do not sell this data or share it with third parties for their own purposes, and this does not affect your ownership of Your Content. You can opt out at any time by emailing admin@oswin.com.au, or in your account settings. This is described further in our Privacy Policy. (This is the "narrow" right — it does not include training our own AI models. If we later want to do that, this clause and the Privacy Policy must be updated and fresh consent obtained.)

7. Acceptable use

When you use the Service you must not: break any law or use the Service for any unlawful, fraudulent or harmful purpose; upload content you do not have the right to upload, or that infringes anyone's rights; upload malicious code or attempt to interfere with, disrupt or compromise the security of the Service; attempt to gain unauthorised access to any account, system or data; probe, scan or test the vulnerability of the Service without our written permission; copy, scrape, reverse engineer, decompile or disassemble the Service (except to the extent this restriction is prohibited by law); resell, sublicense, rent or share access without our written agreement; harass, abuse or harm others, or send spam; or place an unreasonable load on the Service. If you breach this Section, we may suspend or terminate your access — see Section 12.

9. Australian Consumer Law and your rights

Your consumer guarantees come first. Our services (and any digital content we supply) come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that the ACL or any other law says cannot be excluded, restricted or modified. If any part of these Terms tries to do so, that part does not apply to the extent of the conflict.

Among other things, the ACL guarantees that services will be provided with due care and skill, will be reasonably fit for any purpose you told us about, and will be supplied within a reasonable time.

Major failures. If there is a major failure with the Service, you may be entitled to cancel and obtain a refund for the unused portion, and to compensation for any other reasonably foreseeable loss or damage. For a failure that is not major, you may be entitled to have the problem fixed within a reasonable time, and if that is not done, to cancel and obtain a refund for the unused portion. These rights apply despite anything else in these Terms (including Section 10 and Section 14).

10. Not tax, accounting or compliance advice

Please read this carefully. Oswin is a software tool that processes the documents you give it — it is not your accountant, bookkeeper or tax agent, and it does not handle your tax or compliance. We are not a registered tax agent or BAS agent and do not provide "BAS services" or "tax agent services" within the meaning of the Tax Agent Services Act 2009 (Cth).

11. Privacy

We take the privacy and security of your information seriously — especially because the Service handles financial documents. How we collect, hold, use, disclose, secure and delete your personal information is set out in our Privacy Policy; by using the Service you also agree to it.

In summary: we collect information such as your name, email, business name, ABN and a securely-stored password, your usage data and credit balance, and the bank statements and receipts you upload. Your information may be stored or processed in Australia and/or overseas; in particular, to read your documents, their contents are sent to a third-party AI provider which processes them overseas (currently the United States), under a contract that prohibits the provider from training its models on your data. Top-up payments are handled by a third-party payment processor. These are cross-border disclosures under APP 8; our Privacy Policy explains our overseas handling and the countries involved. We remain responsible for your information when these providers handle it on our behalf. We do not store your full card number.

12. Suspension and termination

You can leave any time. You may stop using the Service and ask us to close your account at any time by contacting admin@oswin.com.au.

When we may suspend or terminate. We may suspend or terminate your access, in whole or in part, if: you breach these Terms (including acceptable use) and, where the breach can be fixed, you do not fix it within a reasonable time after we ask; we are required to do so by law; or we reasonably believe it is necessary to protect the Service, other users, or third parties from a security, legal or fraud risk. Where reasonable and lawful, we will give you notice first.

What happens to your data and credit on exit.

Sections that by their nature should survive (including Section 6 ownership, 8, 9, 10, 14 and 15) continue to apply after your account ends.

13. Changes to these Terms

14. Limitation of liability

This Section is subject to Section 9. Read it first. Nothing in this Section excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded under the Australian Consumer Law or any other law. Where we are liable for a failure to comply with a consumer guarantee that can lawfully be limited, our liability is limited (at our option) to supplying the services again or paying the cost of having the services supplied again, except where it would not be fair and reasonable for us to rely on that limitation, and except for any major failure (where your full ACL rights apply).
